Terms and Conditions

1. Scope of Application

These General Terms and Conditions (GTCs) apply to all consulting and legal representation services provided by IRCAFERMA UG (haftungsbeschränkt) with its registered office at Oberländerstr. 33, 81371 München, Germany (hereinafter "IRCAFERMA") to companies and entrepreneurs (hereinafter "Client").

2. Services

IRCAFERMA offers the following services:

• Authorized legal representation (Authorized Representative) for Latin American companies in Europe
• Commercial facilitation and connections for European companies in Latin America
• Regulatory compliance consulting (CE marking, REACH, MDR, etc.)
• Management of certifications and regulatory documentation
• International business expansion consulting

The specific scope of services is defined individually in each service contract.

3. Contract Formation

The contract is concluded by the Client's acceptance of an offer from IRCAFERMA or by written confirmation (including email) from IRCAFERMA of a request from the Client.

4. Fees and Payment Terms

The fees for IRCAFERMA's services are agreed individually and specified in the offer or order confirmation. Unless otherwise agreed, the following payment terms apply:

• Fees are due at the beginning of the service provision
• Payment must be made within 14 days of the invoice date
• Additional expenses (travel, external certifications, etc.) are invoiced separately
• All prices are exclusive of applicable VAT

5. Client Obligations

The Client undertakes to:

• Provide all necessary information and documentation completely and truthfully
• Inform IRCAFERMA immediately of any relevant changes to products or the company
• Comply with all applicable regulations in the manufacture and marketing of products
• Actively cooperate in the provision of services

6. Confidentiality

Both parties undertake to treat as confidential all commercial and technical information they become aware of within the framework of the contractual relationship and not to disclose it to third parties without the prior written consent of the other party. This obligation continues after the termination of the contract.

7. Duration and Termination

The contract duration is agreed individually. Unless otherwise agreed:

• Single service contracts end upon completion of the service
• Ongoing service contracts have a minimum term of 12 months and are automatically renewed for periods of 12 months
• The notice period for ongoing contracts is 3 months before the end of the respective contract period
• The right to extraordinary termination for good cause remains unchanged for both parties

8. Liability

IRCAFERMA is liable for damages according to legal provisions, with the following limitations:

• IRCAFERMA is unlimitedly liable for intentional or grossly negligent damages
• For slight negligence, IRCAFERMA is only liable in case of breach of essential contractual obligations
• Liability for indirect and consequential damages is excluded, except in cases of gross negligence or intent
• The liability limitations do not apply to personal injury or liability under Product Liability Law

9. Applicable Law and Jurisdiction

For all legal relationships between IRCAFERMA and the Client, the law of the Federal Republic of Germany applies exclusively, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for all disputes arising from the contractual relationship is Munich, Germany, provided that the Client is a merchant, a legal entity under public law or a special fund under public law.

10. Severability Clause

If any provision of these GTCs is or becomes invalid, this does not affect the validity of the remaining provisions. The parties undertake to replace the invalid provision with a valid provision that comes as close as possible to the economic purpose of the invalid provision.
